How to Change the Directors of an Offshore Company

The procedure is not different than when changing the Directors of a company in your own country. The steps to be followed will depend of course of the structure and status of the particular offshore company.

Company with Nominees

The first  point to check is whether the company is fully managed by the registered agent that also provide nominees directors services. In this case it suffice that the beneficiary(ies) of the company inform the registered agent of their intention to carry changes. Once all the beneficial owners of the company have expressly requested such changes to be carried out, then the procedure will be performed by the registered agent.

Company without Nominees

If the directors have been appointed by the beneficiary (ies) of the company (no nominees) then it will be necessary to check the status of the company to determine what the formalities are.

For example you will have to check if a resolution to change the directors can be issued by the board of director or is a resolution of a shareholders meeting requested as well. Then all you have to do is to call a meeting of the members and/or directors (respecting the procedure to summon) then verifying that the quorum necessary to pass a resolution is reached and then pass the resolution to change/remove a director. In this case you will have to handle all the paperwork yourself, or ask a lawyer to assist you. Once all the documents and formalities have been accomplished it will be generally necessary to inform the registered agent of the company of the changes that have been completed.
